What is it?
Alphabet announced a proposed $80B equity capital raise structured as $15B in mandatory convertible preferred depositary shares, $15B in Class A and Class C common stock, a separate $40B at-the-market program kicking off in Q3 2026, and a $10B Berkshire Hathaway private placement priced at $351.81 per Class A share and $348.20 per Class C share. Proceeds fund data centers, compute, and meeting 2026 employee equity-vesting tax obligations.
How does it work?
Goldman Sachs, JPMorgan Chase, and Morgan Stanley are joint book-running managers on the public offerings. Goldman is also placement agent for the Berkshire transaction. Alphabet plans to use roughly $30B of the at-the-market proceeds to cover 2026 employee equity-award tax liabilities; the remainder funds capex. Alphabet's 2026 capex guidance is $180–190B, and the company says 2027 will be 'significantly higher.'
Why does it matter?
This is the biggest equity raise yet tied to AI compute buildout. Pichai has flagged compute, power, land, and supply chain as the binding constraints. Berkshire's $10B endorsement, after years of Buffett skepticism about hyperscaler AI capex, is a notable signal. The dilution will be watched closely by Alphabet holders, but the scale shows hyperscaler AI capex is moving from quarter-over-quarter revenue self-funding to dedicated public-market raises.
Who is it for?
Investors, AI infrastructure analysts, and anyone tracking hyperscaler capex pressure.
